LA RESPONSABILIDAD DE LOS SOCIOS DE LAS SOCIEDADES INCLUIDAS EN LA SECCIÓN IV Y SU CORRELATO EN LA SOCIEDAD EN FORMACIÓN

Resumen

Resumen: La modificación a la Sección IV, del Capítulo I, de la ahora llamada Ley General de Sociedades (artículos 21 a 26), introducida por la ley 26.994, dejó a la vista la situación poco equilibrada entre el régimen de responsabilidad simplemente mancomunada y por partes iguales de los socios de las sociedades comprendidas en aquella Sección, y la responsabilidad ilimitada y solidaria de los directores y fundadores de la llamada sociedad en formación, la que, no fue modificaba por el legislador de la unificación. En este contexto, la regulación de sociedad en formación quedó desfasada, puesto que sus directores y/o fundadores tienen una responsabilidad más amplia durante la etapa fundacional que los socios de las sociedades no comprendidas en el Capítulo II. La propuesta de lege ferenda más justa y razonable es que la responsabilidad de los fundadores y directores durante la etapa fundacional de la sociedad en formación, debe ser la prevista por el art. 24 de la LGS, solución que, propugna el Anteproyecto de modificación a la Ley General de Sociedad, y que, creemos la más equilibrada hasta tanto ello ocurra, teniendo en cuenta la interpretación sistémica que demanda el art. 2 del Código Civil y Comercial de la Nación.

Abstract: The modification to Section IV, of Chapter I, of the now called General Law of Societies (articles 21 to 26), introduced by law 26.994, revealed the unbalanced situation between the joint liability regime and by equal parties of the partners of the societies included in that Section, and the unlimited and joint responsibility of the directors and founders of the so-called society in formation, which, was not modified by the unification legislator. In this context, the regulation of a company in formation was outdated, since its directors and / or founders have a broader responsibility during the foundational stage than the partners of the companies not included in Chapter II. The proposal of lege ferenda fairer and more reasonable is that the responsibility of the founders and directors during the foundational stage of the society in formation must be that foreseen by art. 24 of the LGS, a solution advocated by the Proposed Draft Amendment to the General Company Law, and that we believe the most balanced until this occurs, taking into account the systemic interpretation required by art. 2 of the Civil and Commercial Code of the Nation.
